IP protection considerations

For OEM projects, the design IP is the buyer's asset. Protect it with:

  1. A signed NDA before any design exchange.
  2. A clear design ownership clause in the supply contract.
  3. An exclusivity clause if the design is for an exclusive market.
  4. A mold ownership clause — does the buyer take physical possession of the mold, or does the supplier keep it?
  5. A quality surveillance clause — does the buyer have the right to audit the production line?

For ODM projects, the design IP stays with the supplier. The buyer's brand is on the housing, but the same housing may be sold to other buyers in other regions. This is acceptable for most ODM scenarios but must be contractually clear.

7-question supplier vetting checklist
